Terms of Service
These terms govern use of the VitaLife Direct website and practice portal (the "Service"), operated by VitaLife Direct, 2700 N Military Trail, Boca Raton, FL 33431 ("VitaLife", "we"). By requesting an account, signing in, or placing an order, you agree to them on behalf of yourself and the practice you represent.
1. Licensed professionals only
The Service is available only to licensed healthcare practices and the prescribers and staff they authorize. You confirm that the information you give us about your practice, prescribers, licenses and NPI numbers is accurate and current, and that you will tell us promptly when it changes. We may verify it with state licensing boards and the NPPES registry, and may decline or close an account at our discretion.
2. Accounts and access
Each person uses their own login. You are responsible for keeping passwords confidential, for everything done under your practice's logins, and for removing access when someone leaves. A practice's account manager may add and remove team members. Tell us at once at orders@vitalifedirect.com if you believe a login has been compromised.
3. Orders
- B2B orders are products supplied to your practice under VitaLife's business-to-business program. They are for use by or under the supervision of the licensed professionals at your practice, in accordance with applicable law.
- 503A prescription orders are patient-specific prescriptions written by a licensed prescriber at your practice and compounded and dispensed by a licensed 503A compounding pharmacy. By signing a prescription in the portal, the prescriber confirms that it is for an identified patient based on a valid prescriber–patient relationship and that the compounded preparation is necessary for that patient. The dispensing pharmacy makes the final determination whether to fill a prescription.
- Supplies are ancillary items such as bacteriostatic water.
An order is accepted when we confirm it in the portal. We may hold, limit or cancel orders, for example where licensing cannot be verified, product is unavailable, or an order appears inconsistent with professional use. Auto-replenish schedules create orders automatically on the dates you set until you pause or remove them.
4. Pricing, invoices and payment
Prices shown in the portal are those in effect when you place the order, before shipping, applicable taxes and any account discount. Volume pricing applies per product line on B2B and supply orders as shown at checkout. Orders are invoiced to the practice and are due on the terms stated on the invoice. We may suspend ordering on accounts with overdue balances.
5. Compounded preparations
Compounded preparations are not FDA-approved and have not been evaluated by the FDA for safety or effectiveness. Product selection, route, concentration, dosing and patient monitoring are determined solely by the licensed provider. Nothing in the Service is medical advice or a recommendation to use any product for a particular patient or purpose. Product information is provided for identification and handling only.
6. Delivery and storage
Same-day courier delivery is offered for eligible South Florida addresses; other orders ship next day in temperature-controlled packaging. Risk of loss passes on delivery to the address you chose. Inspect shipments on arrival and report damage or temperature concerns within 24 hours. You are responsible for storing products as labeled after delivery.
7. Returns
Because of the nature of compounded and temperature-sensitive products, orders cannot be returned once shipped, except where we shipped the wrong item or the item arrived damaged. Patient-specific prescriptions cannot be returned or resold.
8. Acceptable use
You will not use the Service to resell products to the public, to order for anyone outside your practice's care, to enter false patient or prescriber information, to probe or interfere with the Service, or in any way that violates federal or state law, including pharmacy, controlled-substance and privacy laws.
9. Privacy and patient information
Our Privacy Policy describes how we handle account information and the patient information practices enter for 503A prescriptions. Access to patient records in the portal is logged. Where required by HIPAA, VitaLife and your practice will enter into a business associate agreement before patient information is exchanged through the Service.
10. Disclaimers and limitation of liability
The Service is provided "as is". To the fullest extent permitted by law, VitaLife disclaims all warranties not expressly stated here, and is not liable for indirect, incidental, special or consequential damages, or for lost profits, arising from the Service or any order. Our total liability for any claim is limited to the amount you paid for the order concerned. Nothing here limits liability that cannot be limited by law.
11. Changes and termination
We may update these terms by posting a new version with a new date; continued use after that is acceptance. We may suspend or close accounts that violate these terms or where licensing cannot be confirmed. Sections 4, 5, 7, 10 and 12 survive termination.
12. Governing law
These terms are governed by the laws of the State of Florida. Any dispute will be brought in the state or federal courts located in Palm Beach County, Florida, and you consent to their jurisdiction.
